Board members raised questions about permit transferability and whether the city could allow family transfers while restricting sales to investor LLCs. The conversation focused on legal constraints and what constitutes an "operation" versus a "use" under existing code.
A presenter who explained corporate ownership under Mississippi law said an interest in an LLC is personal property and that an ordinance cannot easily limit an LLC's statutory ability to own property. "An LLC interest in an LLC is considered personal property, like a watch or a car or cash," the presenter said while warning the board to review state law before drafting transferability rules. Members asked the city attorney (David Harris was mentioned) to give guidance on whether city code can limit transfers or require documentation to identify majority owners.
Committee members discussed options including allowing limited family transfers, insisting on deed documentation at application time, or requiring annual attestations of LLC officers as part of renewals. No change was adopted at the workshop; the board directed staff to seek legal opinion before moving forward.
