At a combined workshop and regular meeting, the Prairie View Economic Development Corporation voted to table the election of a treasurer until the board’s bylaws are amended to clarify membership counts, alternates and quorum rules. The delay followed a sustained debate after members said city council had appointed an eighth person and the existing bylaws specify seven directors.
Board members and the city attorney discussed whether city council actions should change internal corporate bylaws immediately or whether an amendment process is required. Several directors, including Vita Brown and the board’s attorney, emphasized that the corporation’s bylaws remain controlling until formally amended and approved by the council where required. That legal uncertainty led the board to adopt a motion to postpone any treasurer appointment until draft bylaw amendments are prepared and considered.
Directors also sought clearer language about the executive director’s role. Board members agreed the executive director should act as the EDC’s chief implementer — preparing documents, implementing the strategic plan and reporting progress — while the board retains policy-setting authority and must approve bylaws and official policy. Several speakers asked edits to remove ambiguous language (for example, references that could be read as requiring the executive director to "rewrite" bylaws rather than present draft changes to the board).
The motion to table the treasurer election passed after discussion. Board members directed staff and counsel to prepare proposed bylaw language clarifying: the size of the board, the use and authority of alternates (if any), quorum and voting thresholds, and the process for appointing officers once bylaws are amended. The board scheduled further consideration of the draft amendments at a later meeting.
