Dominic, NPO staff, briefed the committee on proposed revisions to the MPO bylaws and asked the Technical Advisory Committee to recommend the changes to the governing board.
He said the revisions are driven by the MPO’s administrative separation from the City of Lasuses and are intended to remove obsolete language, align terminology with the joint powers agreement, and clarify roles. Dominic described key changes: replacing references to the “policy board” with “governing board,” changing references from “NPO officer” to “executive director,” defining an executive committee and its responsibilities, and removing internal inconsistencies. The revisions also prohibit absentee elections for the chair and vice chair across several committees and establish an excused/unexcused absence system for governing board members with automatic removal for repeated nonattendance; advisory committees would retain previous attendance rules.
Dominic said BPAC recommended approval at its last meeting and NPO staff will ask the governing board to adopt the bylaws at its June 10 meeting. A motion to recommend approval was moved and seconded; the committee approved the recommendation by voice vote.
Staff did not receive substantive questions during the TAC discussion. The recommended bylaws update organizational governance procedures and will proceed to the governing board for final action.
