Commissioners approve Best Way recycling contract with addendum after county attorney flags escalation and liability clauses

County staff told the Board of Commissioners that Best Way received the highest evaluation score in an RFP process for county recycling services and recommended awarding a three‑year contract.

County Attorney Ann reviewed the vendor’s standard contract and identified several provisions that the county cannot accept as written: clauses that would allow the vendor to increase prices under broad circumstances, and language attempting to disclaim liability for property damage. Ann said the county proposed a one‑page addendum to make RFP responses binding contract terms, to remove unconstrained price‑escalation clauses and to make clear the vendor remains liable for damages caused by negligence or intentional misconduct.

County Administrator Kyle Swalls told the board the RFP evaluation included price as 30% of the score and that staff expected active service levels during the program’s opening months. Commissioners discussed fuel‑price pressures and acknowledged that vendors may seek escalators. The adopted approach was to approve the contract with the addendum and to give the administrator limited authority to negotiate non‑material contract language; if a vendor seeks material changes to price or term the item will return to the public agenda.

A nearby resident asked whether security lighting at the new centralized recycling site would affect adjacent uses such as a drive‑in theater. Commissioners said they expect security lighting sufficient to deter illegal dumping but not stadium‑style illumination and directed staff to follow up with details.

The commission approved the motion to award the contract and adopt the addendum by a 3–0 vote; staff will send the addendum to Best Way and report back if the vendor asks for material changes.
