Southern Research asks council to reappoint cooperative-district members to close financing; item referred to committee

Representatives for Southern Research Institute asked the Birmingham City Council to reappoint two members to the city’s cooperative district so Southern Research can proceed with a planned financing closing. Attorney Doug Williams said the appointments are necessary to provide the legal authority for the district to act and that the timing is important for the institution’s financing schedule.

Councilors and city legal staff discussed the controlling state statute and the district’s bylaws. Counsel noted that some cooperative-district terms had expired and that, depending on the statute and bylaws, expired positions might mean the district lacks a quorum for action. One councilor and staff said some boards continue to serve until replaced; others said state law may control over local practice.

Because of the financing deadline and the legal questions about terms and quorum, the council referred the appointment resolution to the Economic Development, Budget and Finance committee for expedited review and asked staff to provide the relevant bylaws and statutory language. Southern Research was told it may need to negotiate timing or seek an extension if appointments cannot be finalized before the lender’s deadline.
