Committee clears technical overhaul of nonprofit corporations code

Representative Tuck presented HB797, a comprehensive revision to the nonprofit corporations chapter drafted with the Florida Bar’s business law and real property/probate sections. He described the proposed text as modeled on the for-profit corporation changes enacted in 2019 and the Model Nonprofit Corporations Act.

Tuck explained the 138-page amendment is technical — largely punctuation and harmonization — and does not change substantive law. Members asked no substantive questions. The committee adopted the technical amendment by voice, heard stakeholders waive in support (including Gregory Black of the Florida Nonprofit Alliance and Stuart Cohen of the Florida Bar Business Law Section), and voted 16-0 to report the bill favorably.

The committee’s action moves the proposal to the next legislative stage for additional consideration.
