PSC approves Crown Castle and Zayo-related transfers for statewide fiber assets

The Public Service Commission approved three telecommunications transactions involving Crown Castle entities and Zayo-related companies that staff said will preserve service and continuity for customers across Mississippi.

Staff attorney Mr. Jones summarized three joint petitions: a pro forma assignment of Crown Castle Fiber assets to Fiber Asset Co and the sale or transfer to Fiber Fine (a transcript spelling) Co (described as related to Zayo Group) that would move roughly 90,000 miles of fiber in a transaction Mr. Jones said is valued at approximately $4.25 billion; a second petition to transfer remaining interests and small-sales businesses to a Small Sells Whole Co (per transcript) ultimately owned by EQT/Zayo; and an internal Zayo restructuring transferring certain assets to a Zayo Network Services subsidiary. Staff recommended approval of each petition conditioned on the petitioners receiving all required federal regulatory approvals.

Commissioners had no substantive questions and approved each docket by voice vote.

What’s next: Staff will make approval conditional on the petitioners securing federal approvals and will monitor compliance with the condition and any required filings to preserve customer protections and continuity of service.
