Committee members reviewed governance and funding questions during the March meeting, focusing on vacant resident seats, quorum rules and how the committee could raise or handle funds.
Members noted three resident openings (two resident seats plus one alternate) with applications closed May 1 and council action expected in June; new members would probably start in August. Several members raised a question about quorum (five of nine vs. a different threshold) and asked staff to confirm the official rule.
On funding, staff said the committee does not have its own TIF budget but can draw from a culture fund allocated under special events for small needs such as electrical-box wraps, refreshments and promotional items. Members described how municipal arts nonprofits in neighboring cities serve as fundraising arms and suggested placing a formal 501(c)(3) discussion on a future agenda to explore whether a separate nonprofit could accept donations, pursue grants and sponsor events on the committee’s behalf.
The committee agreed to add a feature agenda item about forming a nonprofit and to discuss arts-furniture proposals in a future meeting.
