The Board of Health voted unanimously among those present to approve a new five-year employment contract for Dr. Philip Bondurant at a short special session called to consider the agreement.
Board member Chris Cherniak opened discussion by moving 'to take up the employment contract for Doctor Philip Bondurant for discussion,' and later asked for clarification about a recital that says the board will 'make possible full work productivity by assuring peace of mind on the part of Bondurant.' Cherniak asked, 'What does that mean?'
An attendee deferred the legal interpretation to HR and legal staff. David Warnock, identified on the call as HR/executive staff, explained that the clause and the contract are intended to give the executive assurances so they can 'work through difficult situations' without fear of sudden termination. As one participant summarized, the recitals are meant to provide 'peace of mind' to the employee so they can perform their duties 'as long as [they are] operating within the bounds of these recitals.'
The board also discussed the contract term. Participants said three years had been the earlier standard for executive contracts, but the five-year term in the new agreement is a policy choice rather than a code requirement. Dr. Philip Bondurant said he had requested the longer term; other board members said a five-year term would provide consistency and stability for long-term initiatives.
Before voting, staff clarified that the contract's integration clause supersedes prior agreements and merges earlier sketches and representations into the new contract to avoid overlapping obligations.
A board member moved to approve the contract with the term outlined; another member seconded. The chair called for the vote and attendees on the line said 'Aye.' The board recorded the approval as unanimous among those present and noted two members were not on the call. No abstentions or opposing votes were recorded.
After the vote, Dr. Bondurant and others thanked staff for arranging the meeting on short notice; the session adjourned following a motion to do so.
The board’s action replaces prior contract arrangements for Dr. Bondurant with the newly approved agreement and implements a five-year term by policy.
