At its May 2 meeting the San Francisco Health Commission approved two memoranda of understanding clarifying relationships between the Department of Public Health (DPH) and local health foundations and adopted the consent calendar including contract recommendations.
Controller Drew Merle introduced an MOU template for the San Francisco Public Health Foundation that requires compliance with the San Francisco Sunshine Ordinance, donation reporting (Exhibit B), controller audit access, and adherence to city administrative code for gift acceptance. The commission moved and approved that MOU by voice vote.
A separate MOU with the Zuckerberg San Francisco General Hospital Foundation was presented by the foundation's CFO (presented in the record as Jennifer Bothy/Boffy) and likewise approved; that MOU permits disclosure and reporting and, unlike the Public Health Foundation agreement, allows the foundation to use funds for internal staff events where permitted by ethics review.
Commissioner Chung summarized the Finance and Planning Committee's recommendations, including adding six items to the consent calendar and five new contracts; the commission adopted the consent calendar by voice vote.
Closed session votes: The commission then considered two closed-session items related to Laguna Honda: item 13d (regulatory survey activity) and item 13e (pending litigation). After taking limited public comment related to the closed-session matters, the commission voted to enter closed session on both items and asserted attorney-client privilege for the litigation discussion. Following closed session the body voted not to disclose the contents of the closed-session discussions.
Formal votes recorded in the meeting transcript include: approval of the April 18, 2023 minutes; approval of the MOU between DPH and the San Francisco Public Health Foundation; approval of the MOU with the SFGH Foundation; adoption of the consent calendar; motions to enter closed session on items 13d and 13e; and a motion not to disclose closed-session contents.
