The Syracuse Industrial Development Agency approved a resolution clarifying the ownership restructuring for the Maguire dealership project on Iowa Boulevard, agency staff said. The change formalizes a transition from a limited partnership to a limited liability company (LLC) and does not introduce new owners, board members were told.
Kathy Murphy, a board member presiding at the meeting, described the item as “a restructuring of the family partnership in terms of ownership” and said it did not add new owners. Eric (agency staff member) told the board the project closed and proceeded with construction in 2020 and has been fully completed. He added that an earlier restructuring proposal had been authorized in January 2025 and that the current resolution provides additional clarification that allows counsel to complete necessary transaction documents.
Board members asked whether the individuals who had been general partners in the limited partnership would serve similar management roles in the LLC. Eric said the same individuals remain involved and that the restructuring centered more on ownership percentages than changes in day-to-day management. The board approved the clarifying resolution by voice vote after a motion by Ricky Brown and a second by Steve Thompson.
The resolution directs agency counsel and project counsel to proceed with the documentation needed to effect the corporate change. The agency packet presented the item as a continuation of earlier approvals for the Maguire project and included language to allow both legal counsels to finalize the terms of the conversion from Maguire Family LP to the new LLC.
